Terms of Service

Introduction

K5R Softwares LLC ("Company", "us", "we", or "our") operates Hyud (hereinafter referred to as "Hyud", "Service(s)", "Product", "App", "Application", "Platform" or "Website").

These Terms of Service ("Terms", "Terms of Service", "Terms of Use", "Agreement") govern your use of our web pages located at hyud.app and our macOS Application Hyud.

Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages. Please read it here.

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood such Agreements, and agree to be bound by them.

By using our Service, you agree to these Agreements.

Terms of Service Amendments

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. It is your responsibility to check the Terms of Use periodically for changes. Your continued use of the Application following the posting of any changes to the Terms constitutes acceptance of those changes.

Communications

By purchasing our Product, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or instructions provided in any email we send.

Licensing, Payment, Refunds and Updates

The Application includes a one-day free trial. After the trial period, continued use requires purchasing a license.

Payments are non-refundable once your license has been validated on your device. If your license has not yet been activated, you may be eligible for a refund.

We may employ the use of third party services for the purpose of facilitating payment and the completion of the purchase. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy. We reserve the right to refuse or cancel your purchase at any time for reasons including but not limited to: Service availability, errors in the description or price of the Product or Service, error in your order, default of payment, or other reasons. We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Service Changes

We reserve the right to withdraw or amend our Service, and any service or material we provide via Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of Service, or the entire Service, to users, for example during maintenance periods.

Prohibited Uses and User Obligations

We grant you a non-exclusive, non-transferable, revocable license to use the App on devices that you own or control. You agree not to:

• Reverse engineer, decompile, or disassemble the App;
• Copy, modify, or create derivative works of the App;
• Use the App for any unlawful, harmful, or abusive purposes.

Discontinuation or Modification of Service

K5R Softwares LLC reserves the right to modify or discontinue, temporarily or permanently the Service, or any part thereof, at any time without notice. The Company will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Disclaimer Of Warranty

These services are provided by the company on an "AS IS" and "AS AVAILABLE" basis.
The Company makes no representations or warranties of any kind, express or implied, as to the operation of their services, or the information, content or materials included therein. You expressly agree that your use of these services, their content, and any services or items obtained from us is at your sole risk.

Neither company nor any person associated with company makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the services. Without limiting the foregoing, neither company nor anyone associated with company represents or warrants that the services, their content, or any services or items obtained through the services will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the services or the server that makes it available are free of viruses or other harmful components or that the services or any services or items obtained through the services will otherwise meet your needs or expectations.

Company hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose.

The foregoing does not affect any warranties which cannot be excluded or limited under applicable law.

Liability

In no event will the Company, its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, or licensors be liable for any damages (including, without limitation, damages for loss of data or profit, or damages for business interruption) arising out of the use of or inability to use our services, even if the Company has been advised of the possibility of such damages.

Except as prohibited by law, if there is liability found on the part of company, it will be limited to the amount paid for the products and/or services, and under no circumstances will there be consequential or punitive damages. Some states do not allow the exclusion or limitation of punitive, incidental or consequential damages, so the prior limitation or exclusion may not apply to you.

Intellectual Property

The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of K5R Softwares LLC and its licensors.

The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of K5R Softwares LLC.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the federal or state courts located in New Mexico.

Indemnification

You agree to indemnify, defend and hold harmless K5R Softwares LLC and its affiliates, officers, directors, employees, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of your violation of these Terms or your use of the Service.

Severability and Entire Agreement

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions will continue in full force and effect. These Terms constitute the entire agreement between you and us regarding our Service, and supersede any prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral.

BY USING OUR SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
